Official Terms and Conditions
  1. The Operator sponsoring this competition is AYR Stage Agency, LLC, operating as 10X Stages (“SPONSOR” or “We” or “Us” or Our”), a Delaware limited liability corporation, having an address of PO Box 63138, Colorado Springs, CO 80962. These terms and conditions (“Terms”) set out the entire agreement between you (“You” or “Your” or “Contestant”) and SPONSOR in relation to your entry into The Great American Speak Off (the “Competition”) run by SPONSOR. By participating in this Competition, you agree to these Terms, which may be revised by Us at Our sole discretion from time to time and acknowledge that you have read and understood them.
  2. To be eligible to win any of the prizes under this Competition you must be over (18) years of age and be a citizen or permanent resident in the United States. Void where prohibited. No purchase is necessary.
  3. In the event a contest winner cannot, for any reason, fulfill the duties of the winner’s position, accept any particular prize, and/or becomes ineligible during the course of the year, an alternative recipient will be chosen by SPONSOR.
  4. Any display of poor sportsmanship and/or unbecoming conduct, any interference and/or disturbance, or any other behavioral problem created by a contestant, a relative, supporter, or guest of a contestant shall result in disqualification of the contestant from the current Competition but as well as future Competitions. IN THE EVENT THIS SITUATION SHOULD OCCUR CONTESTANT SHALL BE DISQUALIFIED FROM THE CURRENT COMPETITION AND ALL PRIZES WILL BE REVOKED. Contestant shall receive notice of the disqualification as well as an explanation as to the incident or incidents that gave rise to such disqualification.
  5. Contestant is not permitted to bring any professional or amateur videographer or photographer to the Competition and no professional or amateur video or photography equipment shall be permitted at the Competition Venue.
  6. There is no purchase necessary and no entry fee shall be charged to participate in this competition. The Competition is a free, first come-first served opportunity to compete in each audition. In the event Contestant wants to guarantee their audition spot (limited to 540 per Audition shown below in Section 8, there is a guaranteed audition fee of $97.00 USD to guarantee your audition spot in the Competition. This fee is optional and paying this fee does not increase your prospect of winning the Competition as this is not a “game of chance” contest, rather it is a “game of skill” contest, and no purchase is necessary. The fee must be paid in full two (2) day in advance of the Competition and is nonrefundable. By entering into this Competition, you agree that you have read and understood the Terms and Conditions of the Competition, including any Terms of Purchase and Refund Policies, and you agree to abide by the terms therein. Void where prohibited.
  7. SPONSOR and its affiliated companies reserve the final and absolute right to interpret these rules and arbitrarily settle and determine all matters, questions and differences in regard thereto, or otherwise arising out of or connected with, or incident to the contest, and the right to amend or add to the rules as their judgment may determine. SPONSOR shall disqualify any contestant who fails to abide by any rule that is stated or orally given, from this Competition and any future Competition of SPONSOR.
  8. Employees of SPONSOR and other companies associated with the promotion of the Competition, and their respective parents, subsidiaries, affiliates, and its advertising or promotion agencies, competition judges, lessees, agents, any applicable franchise dealers, competition prize suppliers, any other companies engaged in the development, production, or distribution of materials for this Competition, and members of the immediate families of, or persons domiciled with, any of the above, are not eligible to enter this Competition.
  9. To enter the Competition, you must register for the Competition during the Competition Period, at the following website: https://speakoff.com. Registration and Auditions are free. The Auditions for the Competition will be conducted virtually as follows:

    • Saturday, May 18, 2024
    • A date TBD in June 2024, July 2024, August 2024, September 2024, October 2024, November 2024, December 2024.
    • Any of these dates are subject to be removed or changed or postponed.
    • Sponsor may opt to offer additional in-person or virtual auditions at future dates.
      • You may register for the Competition in any and all of the Audition options with no limitation on the number of times you participate in the Competition beginning on Tuesday, April 2, 2024.

    Every effort to follow the below agenda will be made. However, these are live events, and the times below may not be guaranteed.

    • Onsite check-in and registration for the Audition you answered the casting call for begins at:
      • In-Person City Auditions at 6:30 am local time
      • Virtual (online) Auditions at 11:30 am ET / 8:30 am PT
    • Auditions will have numerous Rounds, depending on the number of entries. You must have been on time to register in order to participate in Round 1. Auditions will continue in additional Rounds to narrow down the semi-finalists, referred to as “Golden Ticket” winner, throughout the day. Please plan to participate all day into the evening.
    • Those chosen to advance to the Semi-Finals will be notified during the event day before the Audition wraps up.
    • The Semi-Finalists from each Audition will compete in an overall Semi-Finals competition to take place at a date and time to be announced later in the year but no later than February 28, 2025.
    • Three (3) winners from the Semi-Finals will be chosen to compete in the finals, the date of which will be announced no later than February 28, 2025.

    Any contestant in any City or Virtual Audition who does not show up and participate during the respective Auditions, Semi-Finals, or Finals for which they qualified will be disqualified immediately.

    All entries become the property of SPONSOR and will not be acknowledged or returned. We request you do not send anything you expect to be returned to you and we take no responsibility for the loss of any entries.

  10. You warrant that you fulfill the eligibility requirement set out at Sections 2-4 above. If you do not fulfill those requirements, or any other requirements set out in these Terms, your Competition Entry will be deemed void or you shall be disqualified depending on the level of your participation in the Competition when such ineligibly is discovered. Void where prohibited.

    SPONSOR is not responsible for lost, late, incomplete, invalid, unintelligible, damaged, misdirected, or undeliverable correspondence or entries to the Competition, all of which will be disqualified. Proof of submission or sending the submission is not proof of receipt by SPONSOR. Incomplete or late entries will be ineligible to enter the Competition.

  11. The Competition is a game of skill, and chance plays no part in determining the winner. All entries will be judged individually on their merits. If you chose to secure your audition by paying the optional $97.00 USD fee, this shall not increase the probability of your winning the Competition as it is based solely on skill and not chance.
  12. The contestants chosen to move on to each Round, Semi-Finals, or throughout the Competition will be determined by SPONSOR’s Panel of qualified judges (the “Panel”) who will judge each entry as it progresses to further rounds in each City. SPONSOR reserves the right to modify or replace the Panel or individual Panel members as needed to accommodate qualified judges’ schedules or time limitations. The Panel will give a score to each live virtual performance for a total of up to 100 possible points, with a score of 0 to 25 being given in each of the below categories:

    1. Quality of Message
    2. Quality of Delivery
    3. Quality of Content
    4. Overall Speaking Ability

    All submissions must be non-fiction and are subject to factual verification. Incomplete and/or inaccurate entries not complying with the rules are subject to disqualification. You agree to indemnify Sponsor for any issues that arise from your submission if the submission violates the Competition Rules.

    In the event of a tie, the SPONSOR may elect to move both contestants to the next round in the competition.

    All judging decisions will be final and at the sole discretion of the Panel.

  13. The potential finalist(s) must sign an IRS Form W-9 before receiving any prizes, in the event Sponsor elects to award prizes, so that the value of the prize can be correctly reported to the U.S Internal Revenue Service for income tax purposes. Potential winner(s) may be required to furnish proof of identification as part of the verification process. If a potential finalist cannot be located or does not respond within three (3) days of notification, the potential finalist will be disqualified and forfeits any advancement in the competition or prizes and SPONSOR may, at its sole and absolute discretion, select the entrant with the next highest number of votes, whom SPONSOR will attempt to contact, and who will be subject to disqualification, in the same manner. SPONSOR will not be responsible for failed attempts to notify any potential finalist.
  14. A minimum of 3 contestants will be chosen to move on from the Semi-Finals to the Finals and will:

    1. Win an opportunity to speak on a www.grantcardone.com stage event (subject to change if government mandates or other similar circumstances requiring adjustment. Tickets are nontransferable and do not have any monetary value or trade in value. Unused tickets are forfeited. Ticket levels may vary depending on availability).
    2. Win the opportunity to give a short talk of less than 3 minutes at that live event, subject to meeting SPONSOR’s presentation criteria. Sponsor reserves the right to approve, or disapprove, any topic or subject matter. Sponsor shall provide information on how to submit the transcript of your talk for approval closer to the Event date. SPONSOR reserves the right to end any Contestant’s short talk at a www.grantcardone.com stage and/or to eject anyone who is not following the presentation requirements or event terms and conditions.
    3. Win a $1,000 reimbursement for flights and lodging to show up at the www.grantcardone.com stage, should it be in person
    4. Note that the retail value of the Prize is estimated to be approximately $2,500 USD, but can vary slightly at the time of the award due to fluctuations in costs.
  15. The Prize must be accepted by each winner as awarded, and prizes cannot be substituted, transferred, exchanged, or surrendered for cash., In the event that the Prizes, or any part of them, become unavailable beyond the control of SPONSOR, SPONSOR reserves the right, to award a substitute prize of equal or greater value. Any applicable taxes on the Prizes, and any other costs not expressly included in the description of the Prize in Section 13 are the sole responsibility of the winner. For example, the winner (or winners) must also sign IRS Form W-9 before receiving the Prize so that the value of the Prize can be correctly reported to the U.S. Internal Revenue Service for income tax purposes. Participation in the Prize is subject to the Terms of SPONSOR, and any other service providers or prize suppliers associated with the Competition.
  16. All Competition entries must be based on fact and genuine results achieved. Winning Contestants must have verified statistical documentation regarding their results to provide to Sponsor for validation. If any unfounded or inaccurate statistical data is used by a Winning Contestant, the Winning Contestant shall be immediately disqualified and shall thereby forfeit receiving a Prize. The verified statistical documentation of the Winning Contestant’s achievements shall be subject to the Panel’s discretion and satisfaction.
  17. You warrant that all information and/or materials submitted along with your Competition Entry, including, but not limited to your photographs and written and electronic communication (together the “Material”) is original, shall not infringe the intellectual property rights of any third party, and shall not violate any other laws. You acknowledge that SPONSOR, by operation of Section 17 below, shall become the sole and exclusive property of SPONSOR, and may be used by SPONSOR in any way (including, without limitation, on the 10xstages.com, grantcardone.com and speakoff.com websites) without permission or any compensation to you. Should any information or materials be used by a Contestant that give rise to any intellectual property infringement, Contestant agrees to indemnify and hold Sponsor harmless and defend Sponsor in any intellectual property infringement action.
  18. You hereby acknowledge that Sponsor is the sole owner of all rights in and to the and the Submission(s) thereof, as “works made for hire” pursuant to 17 USC §101, et.seq., for all purposes; and that Sponsor has the unfettered right, among other things, to use, exploit and distribute the Submission and your Entry as embodied therein in any and all media or formats, throughout the world, in perpetuity. Any materials created in connection with the Submission or Entry shall belong solely to Sponsor and Sponsor shall have the sole and exclusive right to use, exploit and distribute such materials, throughout the world, in perpetuity. All personal information collected will be subject to SPONSOR’s privacy policy . You also waive absolutely any claims you may have related to defamation, libel, slander, invasion of privacy, right of publicity, trademark violation, copyright, moral rights, or any broadly equivalent rights anywhere in the world, in the Materials (or, if it is not possible to waive your moral or equivalent rights in the jurisdiction in which you reside, you consent to SPONSOR doing anything that would be authorized under applicable laws). By entering into the Contest, you are accepting all Terms and Conditions of the Competition, as well as the Terms of Use and the aforementioned Privacy Policy of the Sponsor.
  19. All Contestants will be required to execute a Waiver and Release for the use of any and all audio and visual recordings and still photography. Refusal to execute a Waiver and Releases shall result in your disqualification as a Contestant.
  20. You assume all risk of injury, harm, or loss of any kind arising from participating in the Competition. You release SPONSOR, and its directors, officers, and employees from all risk, loss, injury, damage, liability, or harm that may arise from participating in the Competition or the Prizes.
  21. Please ensure your contact information is up to date and maintained throughout the Competition. If you are judged to be the Winner and cannot be reached for notification due to your not providing accurate contact information, you will be dropped as the Winner with the next highest judged competitor taking your place.
  22. SPONSOR reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Competition or to be acting in violation of these Terms or in an unsportsmanlike, immoral, or disruptive manner.
  23. SPONSOR does not warrant that entry in, access to or use of the Competition or the speakoff.com, 10xstages.com, or grantcardone.com websites and/or virtual event websites will be uninterrupted or error-free.
  24. Nothing in these Terms limits, excludes, or modifies any statutory consumer guarantees or any other implied warranties under any legislation. Except for any liability that cannot be excluded by law, SPONSOR (including its officers, employees, and agents) is not responsible for, not accept any liability for:

    1. Any incorrect or inaccurate information, whether caused by you or otherwise;
    2. Technical failures of any kind, including, but not limited to malfunctions, slow down, interruptions, or disconnections in phone networks or lines or computer online systems, servers, access providers, computer equipment, or hardware or software connected to or related to the Competition or the grantcardone.com and speakoff.com websites howsoever caused;
    3. Failure of any email or transmission to be received by SPONSOR for any reason whatsoever;
    4. Typographical or other errors in the offer or administration of this Competition, including but not limited to errors in advertising, the Terms, the selection and announcement of the winner, or the distribution of the Prizes;
    5. The conduct of SPONSOR and other companies that are involved in delivering the prizes to the winners; or
    6. Any combination thereof.
  25. The Competition begins on the May 18, 2024 as referenced in Section 9 and ends no later than May 31, 2025 (the “Competition Period”). Entries that are submitted before or after the Competition Period deadlines and requirements as referenced in Section 2 - 5 shall be disqualified. Submissions will be accepted for the Competition in the manner that will be described in the follow-up emails that will be sent to registered participants.
  26. By submitting your Competition Entry and participating in the Competition, you hereby confirm compliance with these official Competition rules and release SPONSOR and its affiliated companies, agencies, competition prize suppliers and their respective officers, directors, employees, agents (collectively, the “Competition Group”) from all liability with respect to the entrant’s participation in this Competition and the awarding and use of the Prizes.
  27. SPONSOR reserves the right to interpret these Terms and, if necessary, to amend these Terms or cancel, terminate, modify, or suspend the Competition for any reason whatsoever, including, but not limited to if an event beyond the reasonable control of SPONSOR affects the proper conduct or administration of the Competition or prevents the awarding of the Prizes in accordance with these Terms. As another non-limiting example, SPONSOR also reserves the right to cancel, terminate, modify, or suspend the Competition if a sufficient number of Competition entries are not received within the timeline stated in this Section 25 herein. SPONSOR’s interpretation of these Terms are final and at the sole discretion of SPONSOR.
  28. These Terms set out the entire agreement and understanding between you and Us with respect to the subject matter herein.
  29. These Terms are governed by, and interpreted in accordance with, the laws of the State of Delaware.
  30. No purchase is necessary to enter and this Competition is void where prohibited.
